Virtual data rooms such as netfiles Deal Room are used for due diligence audits in the context of mergers and acquisitions (M&As) and/or real estate transactions. In addition, they serve as a secure tool for the exchange of confidential documents in financing projects, IPOs, insolvencies and restructuring projects.
The cost depends on the package you order. netfiles Deal Room is available in three versions: Essential, Professional and Premium. Essential is ideal for smaller transactions and due diligence audits. You get a data room with 500 MB of storage space for an unlimited number of users. Standard netfiles support is provided.
Deal Room Professional also features Q&A functionality plus 5 GB of storage space. netfiles provides phone or e-mail support during setup and operation.
The Premium version is the ideal solution for large transactions and due diligence audits, providing unlimited storage space.

You can book netfiles Deal Room in either the Essential, the Professional or the Premium version. Essential gives you 500 MB, Professional 5 GB and Premium unlimited storage space.

The netfiles data room can also be configured quickly and easily. You can create users and groups either individually or, more conveniently, by simply importing a CSV list. You can save folders and files in the netfiles data room in a single step by uploading a ZIP file that is then unpacked automatically in netfiles.
netfiles supports all commercially available office, PDF and image formats. Depending on the access rights assigned to individual users, either the original file or write-protected PDF files are shown in the data room. How much data storage space is available depends on which package you book.
Alongside data room administrators, you can also create any number of user groups on both the buyer and seller sides. Individual access rights can then be assigned to each group – specifying, for example, who can only read documents, who can read and download them, or who can read, download and edit them. In the Q&A section, additional roles can be assigned to Q&A administrators and Q&A gatekeepers.
Yes. You can store documents in such a way that they can only be made visible to others after a second (named) individual has granted approval.
In netfiles Deal Room, questions can be asked about a specific document or folder. Answers are provided via a structured workflow. Questions and answers (Q&As) can be published only for specific individual buyers or for all buyer groups. Alongside administrators, another option is to define gatekeepers on both the seller and buyer sides.
You can set a limit on the number of questions for individual bidder groups. You can also specify a time within which questions may be asked.
netfiles features an integrated search engine in which you can enter search arguments to quickly find the documents you are looking for. "Smart lists" in the data room also let you look specifically for new or unread files or files that need to be processed.
You can export all files, Q&A interactions, activity logs and the data room index in an open file format.
When your project is completed, an audit-proof copy of the data room can be archived on a DVD or USB stick. Alternatively, you can rent an online data room archive. If you do this, your data room will be "frozen" and can no longer be modified.
All activities are recorded in an audit-proof, GDPR-compliant log file.
Yes, netfiles automatically versions your files in the virtual data room. Every change can thus be traced and earlier versions can be restored.
In the netfiles data room, your data is protected by 256-bit encryption during both storage and transmission. Full legal compliance is ensured by the fact that all data is hosted and the online platform is operated at highly secure data centers in Germany.
Your data will only ever be stored in highly secure, ISO/IEC 27001 certified data centers in Germany.
netfiles is fully compliant with ISO/IEC 27001:2202, ISO 22301:2019 and SOC 2. It also possesses C5 certification from the Federal Office for Information Security (BSI).
